Marat Likhtenstein: Fraud Charges Against Ex-Osaic Advisor

Former Brooklyn, New York financial advisor Marat Likhtenstein (CRD# 2470480) allegedly perpetrated an offering fraud scheme, according to charges filed in September. Securities and Exchange Commission records show that he was most recently registered as an investment advisor with Osaic Wealth.

An SEC litigation release published on February 6, 2026 describes the agency’s charges against Mr. Likhtenstein. As the release states, “solicited, recommended, and sold self-issued investments in the form of promissory notes that raised more than $4.1 million from at least 15 advisory clients.” Many of the investors were elderly, according to the SEC, which adds that his alleged scheme targeted “the Russian-American Jewish community.”

In the course of his scheme, he allegedly made false representations to his investors “that if they purchased promissory notes from him through his ‘side business,’ they would earn extraordinary interest rates through investments in highly lucrative business opportunities and deals.” Instead of investing their funds, per the SEC, he allegedly “misappropriated” them in a Ponzi-like manner, paying $940,000 “to other investors” and “spending almost $3.2 million on his personal expenses.” Mr. Likhtenstein agreed to a “bifurcated settlement” that included injunctive and monetary relief, though he did not admit or deny the allegations, according to the SEC.

Mr. Likhtenstein’s Investment Adviser Public Disclosure form discloses five investor complaints against him. All five were filed in 2025 and allege that he misappropriated funds as a representative of Osaic Wealth. The pending complaints seek a total of more than $2.4 million in alleged damages.

According to the Securities and Exchange Commission, Marat Likhtenstein holds 19 years of securities industry experience. Most recently based in Brooklyn, New York, he was last registered as an investment advisor with Osaic Wealth from 2018 until 2024. He was previously registered with Signator Investors in Brooklyn from 2004 until 2018. His credentials include the passage of the the Uniform Combined State Law Examination, or Series 66. He is not currently licensed as an investment advisor. (Information current as of February 6, 2026.)
