Matt Nelson: Complaint Against Ex-Cambridge Advisor Settled for $330K

Boeme, Texas financial advisor Matt Nelson (CRD# 4050793) allegedly misrepresented an alternative investment, according to an investor dispute that reached a six-figure settlement. Securities and Exchange Commission records show that he is registered as an investment advisor with Prime Capital Financial.

Mr. Nelson’s Investment Adviser Public Disclosure form discloses the investor complaint. Filed in 2022, it alleged that as a representative of Cambridge Investment Research, he sold alternative investments based on misrepresentations and omissions, and over-concentrated the customers’ accounts in “high-risk, high-commission, and speculative alternative investments.” In 2022 the complaint reached a settlement of $330,000.

In a statement included with the complaint’s disclosure, Mr. Nelson wrote that his former broker-dealer “unilaterally placed this claim” on his record without his knowledge. “I deny that I misrepresented or omitted any material information regarding the alternative investments Claimants allege,” he added, “and deny Claimants were over-concentrated in the alternative investments in which Claimants chose to invest.”

Prime Capital Financial’s website includes a profile of Mr. Nelson that describes his experience and services. “Due to Matt’s tenure, he has a wealth of experience assisting high-net-worth individuals to work through a multitude of financial challenges to develop a holistic approach to wealth management and asset protection,” it explains. “Matt’s approach to these services begins with a strong relationship with his clients by understanding their needs, listening to concerns, then coordinating with tax and legal experts to develop a holistic plan.”

According to the Securities and Exchange Commission, Matt Nelson holds 25 years of securities industry experience. Based in Boeme, Texas, he has been registered as an investment advisor with Prime Capital Financial since 2017. His past registrations include Cambridge Investment Research, Lawing Financial, and the ON Equity Sales Company. He is licensed in Texas. (Information current as of April 14, 2025.)
